This Limited Warranty, Refund, and Return Policy (“Policy”) is an integral part of the Terms of Use that govern your rights and responsibilities in connection with your purchases from AIOPTIX(XFLIP.AI) Inc. (“AIOPTIX(XFLIP.AI),” “Company,” “we,” “us,” or “our”). This Policy is directed to you, a consumer or purchaser who acquires a Product directly from us or from an authorized reseller, including a “gift recipient” (as defined below) of a device or other product manufactured or sold by us. The scope of this Policy is limited to the original purchaser or original gift recipient, and it is non-transferable to any subsequent purchaser or user. Any attempt to assign or transfer this Policy or any of its terms to another party is void. This Policy is applicable only to AIOPTIX(XFLIP.AI) products acquired directly from AIOPTIX(XFLIP.AI) (via our website or other authorized channels) or from an AIOPTIX(XFLIP.AI)-authorized reseller. (For the purposes of this Policy, a “gift recipient” refers to an individual who receives a new Product as a gift from the original purchaser. Proof of purchase of the covered Product, including the order number for the relevant Product, may be required as a condition for coverage under this Policy.)

UNLESS EXPLICITLY SPECIFIED, ALL TERMS OF USE OUTLINED IN THIS POLICY SHALL APPLY TO ALL CUSTOMERS WHO MAKE PURCHASES WITH US. BY PLACING AN ORDER WITH US OR THROUGH AN AUTHORIZED RESELLER, YOU ARE CONSIDERED TO HAVE READ AND COMPREHENDED THE TERMS OF USE DETAILED HEREIN.

Regarding any permissible cancellations or returns, you acknowledge and agree that failure to adhere to the prescribed procedure outlined below may lead to the rejection of a requested cancellation, return, exchange, or refund.

Cancellation of Orders Prior to Shipment

You have the option to cancel your order and request a full refund for the Product at any time before it is shipped.

Order Cancellation Request Procedure: To cancel your order before the Product is shipped, please contact the AIOPTIX(XFLIP.AI) support team at support@xflip.ai. Upon receipt of your cancellation request, we will assess your eligibility for a refund and inform you accordingly. If deemed eligible, we will initiate a refund through your original payment method within ten (10) business days of confirming your eligibility. Please note that you may be required to provide additional information to facilitate the processing of your request during this period.

Terms and Conditions Regarding Artificial Intelligence Services

In consideration of the nature of the product being an AI device, and the AI services being reliant on third-party large language models, the following provision pertains to services and functionalities related to artificial intelligence:

– AIOPTIX subjectively aims to provide users with the optimal AI usage experience, including perpetual free access and response times meeting user expectations.

– Due to the complete dependency of this product’s AI services on third-party services, AIOPTIX cannot guarantee the quality of AI services unaffected by third-party influences.

– For instance, adjustments made by third parties may impact the charges, response times, and delays associated with AIOPTIX and its products.

– Any diminishment, absence, or anomalies in AI-related functionalities fall outside the scope of warranties, returns, or any post-sale services.

– Given the unique nature of large language model applications and the sourcing of such models from third parties, we are unable to provide any post-sale services related to them, including repairs or exchanges.

– Prior to purchase, please confirm your agreement with this provision. Should you disagree with this provision, kindly refrain from making a purchase.

Returns & Refund/Exchange Request After Product Has Shipped (Applicable to US/Canada)

  1. Returns Within 30 Days of Shipping Date: If you are not entirely satisfied with the Product, you have the option to request a refund by returning the Product within thirty (30) days from the original shipping date to you. Please be aware that a return can be requested only if the Product is in “like new” condition and in its original packaging.

2.Return Request Procedure: To initiate a Product return, please contact the AIOPTIX(XFLIP.AI) support team at support@xflip.ai to request a return merchandise authorization (RMA), which will include detailed shipping instructions. All returns must be sent back in the original packaging, along with all original accessories and packaging materials. In order to obtain the RMA, you will be required to provide proof of purchase and any other pertinent information necessary for processing your return request. Once we have confirmed that your Product falls within the scope of our Policy, we will furnish you with the RMA and shipping instructions, and we will cover the shipping costs within the U.S.

AIOPTIX(XFLIP.AI) is not liable for packages that are lost during transit if they do not have the required RMA and/or proof of tracking.

  1. Refunds or Replacements: Upon receiving your returned item, we will conduct an inspection to verify its eligibility for return. If the item is deemed eligible, we will notify you via email regarding the approval of a replacement item or a refund credited to the original payment method, based on your request. Replacement items or refunds will be processed within ten (10) business days from the date of receiving the returned item.
  2. Returns for Broken, Defective, or Missing Products: In the rare event that a Product you received is broken, defective, or missing upon delivery, you may request a return for a refund or exchange. However, if it is determined that the damages were caused by you (including improper use, neglect, or accidents), we reserve the right, at our sole discretion, to decline a replacement or refund, or to reduce the refund amount proportionate to the decrease in value of the Product due to the damages caused by you.
  3. Exclusions for Ordinary Wear and Tear or Damages Caused by Improper Use or Accidents: This Policy does not cover damages resulting from ordinary wear and tear, improper use, neglect, or accidents, except as outlined in AIOPTIX(XFLIP.AI)’s Limited Hardware Warranty terms. If you return an item that is damaged, shows signs of abuse, or is not in “like-new” condition, we reserve the right, at our sole discretion, to decline a replacement or refund, or to reduce the refund amount proportionate to the decrease in value of the Product due to the damages caused by you.

Returns & Refund/Exchange Request After Product Has Shipped (Applicable to EU/UK): 30-Day Refund for Unopened and Unused Goods; Right of Withdrawal

The following is AIOPTIX(XFLIP.AI)’s policy regarding the return of a Product after it has shipped. (See below for Products covered by our limited warranty.)

1.We offer a 30-day refund policy for an unopened and unused Product.
2.For EU/UK customers only, you need to exercise the extra “Right of Withdrawal” within 14 days of the delivery to you of the Product by sending an email to support@xflip.ai with the information set forth below in the separate section regarding Right of Withdrawal. You will then have 14 days from the date you notified AIOPTIX(XFLIP.AI) as indicated below of your exercise of the Right of Withdrawal to return the Product. If you attempt to notify AIOPTIX(XFLIP.AI) of your exercise of the Right of Withdrawal after the initial 14-day withdrawal period, you will not be able to request a refund for any original delivery costs incurred by you and you will also be responsible to pay the direct cost of returning the Product to us at a designated address. For more detail, see section Right of Withdrawal.
3.For all customers (including EU/UK customers who have not exercised their Right of Withdrawal as discussed above and below), there is a 30-day refund period for any Product commencing from the delivery date if the Product returned to us is unused and in like-new condition. You must request your 30-day refund of the Product by sending an email to support@xflip.ai. Shipping costs of the Product are not eligible for refund, and you will also be responsible to pay the direct cost of returning the Product to us at a designated address. However, this 30-day refund policy does not apply to Products that reflect wear and tear or to any Product damaged or malfunctioning due to improper use. Depending on the condition of your returned Product, the amount of your refund may be reduced in proportion to the diminished value.

Right of Withdrawal (Applicable to EU/UK)

Details on the Right of Withdrawal for EU/UK Customers:

  1. Right of Withdrawal Period: EU/UK customers have a 14-day withdrawal period starting from the delivery date of the Product.
  2. Exercising the Right of Withdrawal: To exercise your Right of Withdrawal, you must inform us of your decision to withdraw from your order by completing the Notice of Withdrawal Form electronically and emailing a copy to support@xflip.ai.
  3. Withdrawal Deadline: To meet the withdrawal deadline, you must exercise your Right of Withdrawal before the 14-day period expires. Once you have notified us of your decision, you have 14 days from that date to return the Product.
  4. Reimbursement Process: If you have correctly exercised your Right of Withdrawal and returned the Product in its original condition to the designated address, we will refund all payments received from you, including the original shipping fee (excluding any upgraded shipping fees chosen by you), within 14 days from the date of notification. The reimbursement will be processed using the original payment method, unless otherwise agreed. We may hold the reimbursement until we receive the Product or evidence of its return, whichever occurs first.
  5. Return Shipment Costs: You are responsible for covering the direct cost of returning the Product to the designated address, which includes shipping charges, customs duties, and any other applicable levies.

6.Limitations of Right of Withdrawal: The Right of Withdrawal is not unlimited and does not apply to certain circumstances, as outlined in the policy.

Limitations of the Right of Withdrawal:

The Right of Withdrawal does not apply to the following circumstances:

  1. Products with customization or personalization that were purchased by you.
  2. Products showing normal wear and tear.
  3. Products unsuitable for return due to health protection or hygiene reasons, or if the Product was unsealed after delivery.
  4. Any other purchased items not covered by the Right of Withdrawal under relevant laws and regulations.
  5. Products affected by internal artificial intelligence service failures or delays.

Returns & Refund/Exchange Request After Product Has Shipped (Applicable to Other Territories)

This Policy applies exclusively to Products purchased within the United States/Canada and EU/UK. If you are located outside of these territories and wish to initiate a return, kindly reach out to the AIOPTIX(XFLIP.AI) support team at support@xflip.ai for further assistance.

Warranty

AIOPTIX(XFLIP.AI)’s Limited Warranty Policy:

1.Warranty Coverage: The Warranty covers defects in the Product for a period of one (1) year or any statutory warranty period as mandated by applicable laws, whichever is longer. The Warranty Period begins from the delivery date of the Product. AIOPTIX(XFLIP.AI) guarantees that during the Warranty Period, the Product will be free from defects in materials and workmanship. Furthermore, under normal intended use, the Product will operate substantially in accordance with the Product documentation, instructions, or technical specifications.

Exclusions from AIOPTIX(XFLIP.AI)’s Limited Warranty:

  1. The Warranty does not cover the following:
  • Normal wear and tear.
  • Defects or malfunctions resulting from use that does not align with the Product documentation, instructions, or technical specifications.
  • Damage or failure due to improper or abnormal use, accidents, abuse, theft, neglect, corrosion, disasters, discoloration, electrical issues, power fluctuations, introduction of foreign objects, exposure to fluids or extreme humidity, unauthorized modifications, or any other unauthorized alterations.
  • Commercial use of the Product for personal or financial gain or commercial exploitation.
  • Software and software functionality.
  • Uninterrupted or error-free use of the Product.
  • Internet connectivity issues.
  • Data or content loss, including associated recovery costs.
  • Damage or loss of access due to account termination or suspension.
  • Damage resulting from improper maintenance or repair.
  • Use of third-party parts or accessories not originally intended for or compatible with the Product.
  • Products that have been resold, stolen, believed to be resold or stolen, counterfeit, or purchased from an authorized reseller.
  • Issues with Artificial Intelligence Service Failure, Delays, or Any Inability to Function Properly
  1. Resolution of Covered Defects:

If covered defects are determined to have existed upon delivery of the Product, AIOPTIX(XFLIP.AI) may offer the following options on a case-by-case basis:

  • Repair or replacement of the Product at no additional cost.
  • If repair or replacement is deemed difficult or financially unreasonable, a partial refund while allowing you to retain the Product, or a full refund upon return of the Product may be offered.

Additional Information on Refunds and Warranty Voidance:

  1. Refund Process Details:
  • The Warranty is only applicable to the original purchaser or the original gift recipient who directly acquired the Product.
  • A full refund to the original purchaser, including gift recipients, will cover the original shipping cost, excluding any upgraded shipping fees chosen.
  • AIOPTIX(XFLIP.AI) may, at its discretion, provide a pre-paid return shipping label or reimburse you for return shipping expenses to the designated address.
  • Refunds will be processed within 30 calendar days after receiving the Product at the designated address and confirming the covered defect. The refund will be credited to the original payment method.
  1. Warranty Voidance Conditions:
  • The Warranty solely covers defects existing at the time of delivery. It becomes void if any of the following occur:
  • Firmware flashing or rooting of the Product.
  • Opening the Product body or introducing foreign objects in an attempt to repair it.
  • Modification, removal, customization, or swapping of any Product parts.
  • Use of the Product in a manner not originally intended.
  • Continued use of the Product after a fault or error has occurred, resulting in further damage.
  • Issues with Artificial Intelligence Service Failure, Delays, or Any Inability to Function Properly

5.Process for Claiming a Return or Refund:
To claim a return for replacement of the Product or a refund of your payment, please follow the outlined process:

  • Contact us via email at support@xflip.ai, providing:
  • SKU number or order number of the Product.
  • Details of the issue experienced with the Product.
  • Steps taken to address the issue.
  • Photos displaying the problem (up to 10 MB in total size).
  • Be prepared to provide additional evidence, such as a technical report from a qualified third-party testing lab if requested.
  • A preliminary assessment of whether the Product has a covered defect will be conducted based on the information and materials submitted by you.
  • If a covered defect is confirmed, you will receive a “return merchandise authorization” (RMA authorization) to return the Product to our designated address. Returns without prior RMA authorization will not be accepted.
  • Upon receiving the returned Product, an onsite technical inspection will be conducted to determine if a covered defect existed upon delivery.
  • The outcome of the refund request will be determined at our discretion, considering factors such as the condition and value of the returned Product and the impact of the defect on the intended use and performance of the Product.

Exclusions from AIOPTIX(XFLIP.AI) Warranty Coverage:

This Warranty does not apply to the following:

  • AIOPTIX(XFLIP.AI) products won through activities or competitions (e.g., lottery drawings) on our platform or promotional channels.
  • AIOPTIX(XFLIP.AI) products received as gifts, unless you are the defined gift recipient.
  • AIOPTIX(XFLIP.AI) products with removed or defaced serial numbers.
  • Spare parts or accessories of a Product.
  • Used or pre-owned AIOPTIX(XFLIP.AI) products.
